Terms of Service — Insight Pro

These Terms of Service (the "Terms") govern the relationship between Insight Pro Ltd., Israeli company registration number 517100392, based in Israel (the "Company"), and the business customer (the "Customer") that uses the Company's management platform for construction and contracting companies (the "Platform" or the "Service").
By accessing or using the Platform, the Customer acknowledges having read these Terms and agrees to be bound by them.
1. The Service
The Company provides a cloud-based SaaS (Software-as-a-Service) platform for running construction and contracting companies — including procurement, contracts and subcontractors, budget vs. actual, invoices and expenses, daily reports, tasks, inventory and AI-powered tools — in accordance with the package selected by the Customer.
The Service is provided on a monthly subscription basis.
2. User Account and Security
The Customer is responsible for all activity performed under its account, including activity by its employees, contractors or authorized users.
The Customer shall keep its access credentials confidential and shall not share them with any unauthorized third party.
Passwords are stored in hashed form only — never in plaintext — so that even the Company has no access to the password itself.
3. Data and Professional Responsibility
Data ownership: all information entered into the Platform by the Customer (including items, inventory, prices, documents and signatures) is the sole property of the Customer.
Data accuracy: the Platform is an auxiliary tool only. Sole responsibility for the correctness, completeness and timeliness of the data rests with the Customer.
Business decisions: the Company shall not be liable for any damage, loss or expense arising from reliance on Platform data for business or operational decisions.
Data processing: with respect to personal data of third parties that the Customer enters into the Platform (employees, suppliers, subcontractors, clients), the Customer is the data controller and the Company acts solely as a data processor on the Customer's behalf — processing the data per the Customer's instructions and for the purpose of providing the Service. The Customer is responsible for the legal basis to collect and share that data. Further detail on security appears in the Privacy Policy and on the Security page.
4. Payment and Suspension of Service
Use of the Platform is subject to payment of subscription fees as agreed between the parties.
Non-payment: failure to pay on time may, at the Company's discretion, result in suspension or termination of access until payment is resolved.
In the event of suspension, the Company will not be liable for any operational or business damage caused to the subscriber due to lack of access to the Platform or its data.
5. Intellectual Property
All rights in the Platform, including code, design, content, trademarks and any other intellectual property, belong solely to the Company.
The Customer receives a limited, personal, non-exclusive and non-transferable license to use the Platform only during the subscription term.
6. Availability and Limitation of Liability
The Service is provided "As Is" and subject to availability.
The Company does not warrant that the Service will operate without faults, interruptions or errors.
7. Termination and Data Deletion
Upon termination of the engagement for any reason, it is the Customer's responsibility to export its data from the Platform in advance.
The Company will retain the data for up to 90 days following termination of the subscription, after which it may delete the data permanently and irrevocably.
8. Digital Signatures and Delivery Confirmations
Where the Platform enables signing of delivery notes, receipt confirmations or similar documents, the Customer acknowledges that such signatures constitute evidence of delivery between the Customer and third parties.
The Company is not a party to disputes between the Customer and third parties and is not responsible for the legal validity of such signatures toward those parties.
9. Prohibited Use
The Customer undertakes not to use the Platform for any unlawful purpose, including infringing third-party rights, attempting to breach the Platform, disrupting its operation or transferring access to any unauthorized party.
10. Changes to the Terms
The Company may update these Terms from time to time.
Notice of material changes will be given by email or via a notice within the Platform. Continued use of the Platform after such update constitutes consent to the updated Terms.
11. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Israel.
Exclusive jurisdiction in any dispute relating to the Service or Platform is vested in the competent courts in the Tel Aviv-Yafo district.
